Articles of Incorporation, As Amended
WE THE UNDERSIGNED, a majority of whom are citizens of the United States, desiring to form a Non-Profit Corporation under the Non-Profit Corporation Law of Washington, do hereby certify:
Article I
The name of the Corporation shall be Federal Way Amateur Radio Club.
Article II
The place in this state where the principal office of the Corporation is to be located is the City of Federal Way, King County.
Article III
Said corporation is organized and operated exclusively for charitable, educational, and scientific purposes within the meaning of section 501(c)(3) of the Internal Revenue Code.
The corporation shall further the exchange of information and cooperation between members to promote radio knowledge, fraternalism and individual operating efficiency, support local emergency and disaster relief organizations, and to so conduct club programs and activities as to advance the general interest and welfare of Amateur Radio in the community. Club activities include, but are not limited to, conducting Amateur Radio classes and seminars, providing emergency and general welfare communications between Federal Way neighborhoods and emergency response organizations, and providing communications for public service events.
Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from the Federal income tax under section 501(c)(3) of the Internal Revenue Code of 1968 (or the corresponding provision of any future United States Internal Revenue Law or (b) by a corporation, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1968 (or the provisions of any future United States Internal Revenue Law).
Article IV
The names and addresses of the persons who are the initial trustees (board of directors) of the corporation are as follows: John Hirsch, Raymond Zajaczkowski, Janine Zajaczkowski, & Mark D. Weitzenhoffer
Article V
No part of the net earnings of the corporation shall inure to the benefit of; or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article Third hereof. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, this corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this corporation.
Article VI
Upon dissolution of the corporation, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to state or local government, for a public purpose. Any such assets not so disposed of shall be disposed by a Court of Competent Jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.
Article VII
The corporation does not discriminate on the basis of race, color, national and ethnic origin in the administration of membership policies, scholarship programs, and other corporation-administered programs. Every member regardless of race, color, national and ethnic origin is entitled to all rights, privileges, programs, and activities generally accorded or made available to members of the club.
